Auditoría de Cuentas Anuales Obligatoría:
La Ley Mercantil vigente en el presente ejercicio, obliga a las Sociedades que cumplan durante dos ejercicios consecutivos, 2 de los 3 requisitos siguientes, a designar Auditor de Cuentas y depositar sus Cuentas Anuales junto con el correspondiente Informe de Auditoría en el Registro Mercantil (LAC disp. adic. 1ª, LSA art. 203).
Para ejercicio 2007 (cierres a 31.12.2007):
Que el total activo de la Compañía, sea superior a 2.373.998 € .
Que el importe de la cifra de negocios, sea superior a 4.747.996 € .
Que el promedio de trabajadores empleados durante el ejercicio, sea superior a 50 personas.
Para ejercicios cerrados a partir de 2008:
Que el total activo de la Compañía, sea superior a 2.850.000 € .
Que el importe de la cifra de negocios, sea superior a 5.700.000 € .
Que el promedio de trabajadores empleados durante el ejercicio, sea superior a 50 personas.
Importante: Las sociedades obligadas que no depositen las cuentas anuales con el informe de auditoria cometen una infracción con dos serias consecuencias: el cierre del registro mercantil y una sanción, que puede alcanzar los 300.506,05 euros por año de incumplimiento para empresas que superen los 6 millones de euros de facturación (RRM art 378, L 30/1992, RD 1398/1993, LSA art. 221).
Procedimiento: La Junta General de Accionistas, ha de nombrar Auditor, antes de la finalización del ejercicio a auditar y, posteriormente, se debe inscribir este acuerdo en el Registro Mercantil. Pulse aquí para descargar modelos de designación de auditores.
